Jonathan K. Hansen is a partner at Carman Lehnhof Israelsen. Mr. Hansen is a general-purpose business lawyer with particular expertise in the area of financing and business combination transactions. He currently represents mature corporations, start-up companies, investment managers, and individuals located in Utah, Wyoming, Illinois and California in matters ranging from mergers and acquisitions to licensing agreements and real estate transactions.

M&A, Private Equity, Venture Capital, and Angel Investment Transactions
  • Represented Chicago-based investment fund in making structured investments of approximately $25 million into over 20 small-cap public companies.
  • Represented Chicago-based investment fund in $17 million sale of portfolio company to publicly traded corporation.
  • Represented private equity investment firm in acquisition of several portfolio companies representing approximately $30 million of invested capital.
  • Represented company in obtaining secured loan of $4 million from Chicago-based bank.
  • Represented individual investor in making secured loan with equity features to out-of-state company.
  • Provided representation to entrepreneurs, investors and companies in evaluating and consummating numerous other business combinations and debt and equity investment transactions.

Fund Formations
  • Represented real estate investment fund in structuring and formation of limited partnership and in preparation of private placement memorandum.
  • Represented venture capital fund in restructuring and formation of several fund management entities.
  • Represented venture capital fund in restructuring investment management agreement with institutional investors.
     
Real Estate Transactions and Water Rights
  • Represented developer in acquisition of $17 million in trust deed notes from successor to FDIC and subsequent foreclosure on same to obtain fee ownership of underlying collateral.
  • Represented real estate investor in acquisition of several investment properties in Midwestern United States.
  • Represented rural land owner in structuring and negotiating hunting and grazing leases.
  • Represented borrower in obtaining $3.5 million loan from bank secured by oil and gas leases.
  • Represented private lender in secured loan transaction secured by residential real estate.
  • Represented various private lenders in several non-judicial foreclosures.

Disputes, Restructurings and Workout Transactions
  • Represented California company in resolving supplier dispute.
  • Negotiated workout settlement for real estate investor with bank in dispute over guaranty and deficiency amount.
  • Represented real estate developer in bond release dispute with local municipality.
  • Represented real estate developer in dispute with investor.
  • Represented various businesses in collection matters, labor issues and other disputes.

Corporate Governance and Operating Contracts
  • Represented California company in restructuring board of directors.
  • Represented venture capital-backed company in negotiating licensing, OEM, distributor and reseller agreements with large, multi-national corporate partners.
  • Represented company in negotiating and preparing supplier contracts with customers.
  • Represented California corporation in adding new major shareholder.
  • Represented professional services firm in drafting employment agreements and employee handbooks.

Business Experience

In addition to his legal practice, Mr. Hansen has twelve years of business experience as a private equity investment professional, technology company CEO, and real estate investor, lender and developer. As a principal investor and company operator, Mr. Hansen has led or participated in dozens of transactions involving growth equity investments, mergers and acquisitions, recapitalizations, initial public offerings, PIPEs, fund formations, employee equity incentive plans, secured loans, leases, joint ventures, operating partnerships, equipment financings, real estate construction, water rights, and land acquisition and development. This broad business experience enables Mr. Hansen to offer his clients unique insights from the perspective of a person familiar with the pressures, constraints and complexities of operating a business.

Mr. Hansen has served on the boards of directors of seven companies. He has been recognized as a business leader by vSpring Capital with the v|100 award, and by Utah Business as one of Utah's top 40 business leaders under the age of 40.
